1. Who we are and what this covers

These Terms of Service ("Terms") govern your use of the caty.app website (the "Website") and the source code product offered through it (the "Product"), provided by OÜ Catyonic, a company registered in Estonia (registry code 17463508), located at Madara tn 9a, 10612 Tallinn, Estonia ("we", "us", "our"). By using the Website, submitting a contact form, or purchasing the Product, you agree to these Terms.

2. What we sell

The Product is the source code of an AI chat application ("caty") delivered as a downloadable archive containing one or more codebases (Flutter, Swift, or both, depending on the tier purchased). The Product also includes:

• The right to compile, modify, and distribute the resulting application under your own brand, subject to the License (Section 4).
• Backend code and configuration scaffolding.
• Documentation and setup instructions.

The Product does not include API credentials for AI providers (Anthropic, OpenAI, etc.) — you must obtain those separately at your own cost.

3. Tiers and pricing

Pricing and what is included in each tier is shown on the Website at the time of purchase. Tiers may include: Free (use without source code), Source (€199, single codebase), Bundle (€249, both codebases), Done-For-You (custom, starting at €999), and v2.0 upgrade (€99 for prior owners). Prices are in EUR. VAT applies where required by law.

4. License granted to you

Upon successful payment for a Source or Bundle tier, we grant you a perpetual, non-exclusive, worldwide license to use the Product for the purpose of building, branding, and distributing end-user applications. Specifically:

4.1 What you may do

• Use, modify, compile, and run the Product, including for commercial purposes.
• Build and distribute applications derived from the Product under your own brand and pricing, in any app store or distribution channel.
• Serve unlimited end users with applications you have built from the Product.
• Use the Product within your own organization for internal tools.
• Allow multiple developers within a single legal entity (your company) to work on the codebase under one license. A separate license is required for each independent legal entity.

4.2 What you may NOT do

• You may NOT use the Product, in whole or in substantial part, to build or operate a business whose primary offering is the sale, licensing, or sublicensing of source code for AI chat applications, AI assistants, or substantially similar developer-facing products. The license is granted for building end-user applications; it does not grant the right to compete with us in the source-code-as-a-product market, with or without modifications.
• Resell, redistribute, sublicense, sell, lease, or share the source code of the Product itself, in whole or in substantial part, to any third party.
• Publish the source code, in whole or substantial part, on a public repository, package registry, mirror, or open-source platform — even if free of charge.
• Use the "caty" name, the cat logo, or the visual identity of caty.app for your derivative product. You must rebrand. References such as "Powered by caty" are not required and not encouraged.
• Remove, obscure, or alter the copyright notices and license markers in source files.
• Misrepresent your derivative product as built, supported, or endorsed by OÜ Catyonic.

4.3 For clarity — examples

Permitted use:

• You build "BrandX Chat" for your own startup, brand it your way, and ship it on the App Store. ✓
• An agency builds and delivers a custom AI assistant to a single client (their final deliverable is the running application or a private brand-specific build). ✓
• You use the codebase as the foundation of an internal tool for your team. ✓
• You ship multiple separately-branded apps for different clients of your agency, each as a finished application — separate apps, separate distributions. ✓

Not permitted:

• Republishing the source code, modified or unmodified, on a code marketplace, GitHub, npm, or similar — for sale or for free. ✗
• Operating a service that lets other developers download or use the source code under your own license. ✗
• Forking the codebase and selling it as your own "AI chat app starter kit" or similar developer-facing product. ✗
• Renting access to the source code repository to multiple companies as if it were your own product. ✗

4.4 Enforcement

Material breach of Section 4.2 is grounds for immediate termination of the license under Section 13 and may give rise to claims for damages and injunctive relief. We reserve all rights to seek remedies available under applicable copyright, contract, and competition law.

5. Delivery

The Product is delivered electronically within 24 hours of payment confirmation, by email, in the form of a download link to a ZIP archive. Links remain active for at least 30 days from delivery. If you have not received your delivery, contact contact@catyonic.com.

6. Refund policy

Because the Product is digital source code that cannot be "returned" once delivered, all sales are final after the download link has been accessed. Before accessing the link, you may cancel for any reason within 14 days of purchase under the EU consumer right of withdrawal, and we will issue a full refund.

By clicking the download link, you confirm that you have received the Product and waive your right of withdrawal under Article 16(m) of EU Directive 2011/83 (digital content delivered immediately on consent).

If the Product is materially defective and we cannot resolve the defect within reasonable time, you remain entitled to a refund regardless of whether you have downloaded.

Try before you buy. The caty application is also published as a free download on Apple App Store, Google Play, and Microsoft Store. You can install and use it as a working demo to verify all features and behavior before purchasing the source code. We recommend doing so — there is no contractual right to a refund based on the Product not matching expectations that could have been verified in advance through the publicly available demo.

7. Updates and support

The license includes any maintenance or bug-fix updates we publish for the version you bought, free of charge, for 12 months after purchase. Major version upgrades (e.g. v2.0) are sold separately at a discount for existing license holders.

We provide email support at contact@catyonic.com for setup and configuration issues. Response time target: 48 hours on business days. Custom development and integration assistance are not included in the basic license — these are offered under the Done-For-You tier.

8. Acceptable use

You agree not to use the Product or the Website to:

• Build applications that engage in, facilitate, or coordinate any unlawful activity — including but not limited to fraud, illegal surveillance, generation of child sexual abuse material, harassment, or distribution of malware.
• Misrepresent your derivative product as built or endorsed by OÜ Catyonic.
• Interfere with the technical operation of the Website (e.g. attempting to bypass rate limits, scraping content systematically, or probing for vulnerabilities outside a coordinated disclosure context).

9. Third-party services

The Product is designed to integrate with third-party AI providers (e.g. Anthropic, OpenAI, Google, xAI), payment processors, and infrastructure providers. Your use of such services is governed by their own terms. We are not responsible for changes to third-party APIs, pricing, or availability.

10. Intellectual property

The Product source code, except as licensed under Section 4, is the intellectual property of OÜ Catyonic. The "caty" name, the cat logo, and the visual identity of caty.app are trademarks of OÜ Catyonic. You receive no rights to use these marks beyond what is needed to identify the original source of the Product.

11. Disclaimer of warranties

The Product is provided "as is" and "as available", without any express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by mandatory provisions of consumer law. We do not warrant that the Product will be free of bugs, will run on every platform without modification, or will achieve any specific business outcome for you.

12. Limitation of liability

To the fullest extent permitted by applicable law, our total liability to you for any claim arising out of or in connection with the Product or the Website is limited to the amount you paid for the Product in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits or revenue.

Nothing in these Terms limits liability for death, personal injury, fraud, or any liability that cannot be limited under Estonian or EU law.

13. Term and termination

These Terms remain in force as long as you use the Website or hold a license to the Product. We may terminate the license if you materially breach Sections 4 (License) or 8 (Acceptable Use) and do not cure the breach within 30 days of notice. Termination does not entitle you to a refund.

14. Governing law and jurisdiction

These Terms are governed by the laws of Estonia. Disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts of Tallinn, Estonia. If you are a consumer in another EU member state, mandatory consumer-protection law of your country of residence still applies.

15. Changes to these Terms

We may update these Terms from time to time. The current version is always posted at this URL with an updated effective date. Material changes affecting your rights or obligations will be communicated by email to license holders at least 30 days before they take effect.
